01 Acceptance of these terms

These Terms of Use govern your access to and use of thegovernance360.ca (the "Site") and any tools, content, downloads, or services made available through it. By accessing or using the Site, you agree to be bound by these terms. If you do not agree, please do not use the Site.

These terms apply alongside our Privacy Policy and Cookie Notice.

02 About Governance 360

Governance 360 is a boutique governance advisory practice incorporated in Canada and headquartered in London, Ontario. We provide governance, board excellence, corporate secretarial, and cross-border governance advisory services to private companies, not-for-profits, foreign subsidiaries, and regulated entities across Canada and globally.

References on this Site to "we," "our," or "us" mean Governance 360.

03 Informational use only

Important: The content on this Site — including articles, frameworks, podcast episodes, the Governance Health Check, and any downloadable materials — is provided for general information and education only. It is not legal, accounting, tax, regulatory, or other professional advice and should not be relied on as such.

Governance is highly fact-specific. The right answer in one organisation can be the wrong answer in another. Before acting on anything you read or hear through this Site, you should obtain advice tailored to your specific circumstances from a qualified professional.

Use of this Site does not create a client relationship between you and Governance 360. A client relationship is formed only when we have signed a written engagement letter with you.

04 The Governance Health Check

The Governance Health Check is a self-assessment tool. It produces a score and tier based solely on the answers you provide, and is intended as a starting point for reflection — not a substitute for a formal governance review, audit, or legal opinion.

You are responsible for the accuracy of the information you submit. The score, tier, and any accompanying report reflect generalised governance practices and may not capture all of the factors that matter to your organisation. Acting on the result without further professional advice is at your own risk.

05 Intellectual property

All content on this Site — including the wordmark, logo, "Governance 360" name, articles, frameworks, the 360 Approach, the Governance Health Check, the design, and the underlying code — is owned by Governance 360 or its licensors and is protected by copyright, trademark, and other intellectual property laws.

What you may do

  • View, print, and download materials for personal, non-commercial reference.
  • Quote short excerpts from articles for review, commentary, or academic purposes, with clear attribution and a link back to the original.
  • Share links to pages on this Site.

What you may not do

  • Reproduce, republish, or redistribute substantial portions of our content without prior written consent.
  • Use any of our names, marks, or design elements in a way that suggests endorsement or affiliation that does not exist.
  • Use our content to train artificial intelligence or machine learning models without our prior written consent.
  • Modify, adapt, or create derivative works from our materials without permission.

06 Permitted and prohibited use

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of it. In particular, you agree not to:

  • Submit false, misleading, or unlawful information through any form on the Site.
  • Attempt to gain unauthorised access to any part of the Site, the server it runs on, or any connected database or system.
  • Introduce malware, scripts, or other harmful code, or attempt to disrupt the Site's operation.
  • Scrape, harvest, or systematically extract data from the Site by automated means.
  • Use the Site or its content in any manner that competes with our practice.

07 Third-party content and links

The Site embeds and links to third-party services and content, including the Calendly scheduling widget, the Buzzsprout podcast player, Spotify, Apple Podcasts, and Amazon Music links, and references to publications such as BoardSource, the Institute of Corporate Directors, and Imagine Canada.

We do not control these third-party services or sites and are not responsible for their content, policies, or practices. Linking to or embedding a third-party service does not constitute endorsement of it. Your use of those services is governed by their own terms and privacy policies.

08 Availability and changes

We aim to keep the Site available and up to date, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Site at any time, including the Health Check, downloadable resources, articles, or features.

We may also revise these Terms of Use from time to time. The "Last updated" date at the top of the page reflects the most recent change. Continued use of the Site after a change means you accept the revised terms.

09 Disclaimers

The Site and its content are provided "as is" and "as available." To the fullest extent permitted by law, we make no warranties or representations of any kind, express or implied, including:

  • That the Site will be uninterrupted, error-free, or secure.
  • That any content is accurate, complete, current, or fit for a particular purpose.
  • That the Site or any downloaded materials will be free of viruses or harmful components.

Nothing in these terms is intended to exclude any warranty or right that cannot lawfully be excluded.

10 Limitation of liability

To the fullest extent permitted by law, Governance 360 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site or reliance on its content — even if we have been advised of the possibility of such damages.

Where our liability cannot be excluded by law, our total aggregate liability arising from or in connection with your use of the Site is limited to the greater of (a) CAD $100, or (b) any amount you have paid us for services to which the claim relates in the twelve months preceding the claim.

Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be limited under applicable law.

11 Indemnity

You agree to indemnify and hold harmless Governance 360 and its directors, officers, contractors, and representatives against any claims, losses, damages, liabilities, and reasonable legal fees arising out of or in connection with your breach of these Terms of Use or your misuse of the Site.

12 Governing law and jurisdiction

These Terms of Use, your use of the Site, and any dispute arising from them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.

Any dispute that cannot be resolved informally will be brought exclusively in the courts of the Province of Ontario, and you submit to the personal jurisdiction of those courts. This does not affect any rights you have as a consumer under the laws of your home jurisdiction that cannot be overridden by contract.
